1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AmpaSports ("Company," "we," "us," or "our") concerning your access to and use of the Whisl platform, including our website, mobile application, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Organizations using the Service must have the authority to bind their organization to these Terms and must ensure that all users within their organization comply with these Terms.

3. Account Registration and Security

3.1 Account Creation: To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Authentication: We use Azure Active Directory (Azure Entra ID) for authentication. You are responsible for maintaining the confidentiality of your account credentials.

3.3 Account Security: You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

4. Service Description

Whisl is a platform that connects sports organizations (leagues, tournaments, clubs, teams, schools, and colleges) with certified sports officials and referees. The Service provides:

• Automated referee matching and assignment
• Game scheduling and management
• GPS-verified check-in system
• Payment processing and distribution
• Performance ratings and analytics
• Real-time command center dashboard
• Communication and notification tools
• Surge pricing capabilities for hard-to-fill assignments

We act as an intermediary platform and are not a party to the actual referee services provided. Organizations and referees enter into independent contractor relationships through our platform.

5. User Obligations

You agree to:

• Provide accurate information about games, schedules, and requirements
• Treat all users with respect and professionalism
• Honor all confirmed assignments and commitments
• Make timely payments for completed services
• Report any issues or disputes promptly
• Comply with all applicable laws and regulations
• Maintain current certification and qualification records (for referees)

You agree not to:

• Use the Service for any illegal purpose
• Circumvent the platform to avoid fees
• Submit false or misleading information
• Harass, abuse, or harm other users
• Interfere with the proper functioning of the Service
• Reverse engineer or attempt to extract source code
• Use automated systems to access the Service without permission

6. Fees and Payment

6.1 Platform Fee: Organizations agree to pay a platform fee of 10% of the total referee payment for each completed assignment. This fee is charged only when a game is completed and the referee has checked in.

6.2 Payment Processing: All payments are processed through our secure payment processor. You authorize us to charge your payment method for all fees incurred.

6.3 Referee Payments: Referees receive payment after game completion and check-in verification. Organizations set base pay rates, which may be increased through surge pricing.

6.4 Cancellations: Organizations are not charged for cancelled games or referee no-shows. Repeated cancellations may result in account restrictions.

6.5 Disputes: Payment disputes must be reported within 7 days of the transaction. We reserve the right to investigate and make final determinations on disputed charges.

7. GPS and Location Services

Our Service uses GPS and location tracking to verify referee attendance and optimize assignments. By using the Service:

• Referees consent to location tracking during active assignments
• Organizations acknowledge that check-ins are verified via GPS geofencing
• Location data is used solely for verification and assignment purposes
• You may disable location services, but this will limit Service functionality

8. Ratings and Reviews

Our two-way rating system allows organizations to rate referees and referees to rate venues and organizations. You agree that:

• Ratings and reviews must be honest, accurate, and based on actual experiences
• You will not submit false, misleading, or retaliatory ratings
• We may remove ratings that violate our policies
• Ratings impact future assignment matching and visibility
• You cannot use ratings to discriminate or harass other users

9. SMS and Text Messaging Terms

Whisl (operated by AmpaSports) provides SMS text message notifications to help referees and organizations stay informed about game assignments, schedule changes, check-in reminders, payment updates, and other operational communications related to the Service.

9.1 Program Description: The Whisl SMS program sends transactional and operational text messages to users of the Whisl referee management platform. Messages include: new game assignment alerts, schedule change notifications, check-in reminders, payment confirmations, referee no-show alerts, and position re-listing notifications.

9.2 Consent: By creating a Whisl account at https://whisl.app and verifying your phone number via a one-time passcode (OTP), you expressly consent to receive SMS text messages from Whisl at the phone number you provided. Consent to receive SMS messages is not a condition of purchasing any goods or services.

9.3 Message Frequency: Message frequency varies based on your activity. You may receive multiple messages per week during active game periods and fewer during off-seasons. The number of messages depends on how many games you are assigned to, schedule changes, and other platform activity.

9.4 Message and Data Rates: Message and data rates may apply. Please contact your mobile carrier for details about your messaging plan and any charges that may apply to text messages you receive.

9.5 Opt-Out: You can opt out of receiving SMS messages at any time by replying STOP to any message from Whisl. You may also disable SMS notifications from within your Whisl account Settings. After opting out you will receive a single confirmation message and no further SMS messages will be sent unless you opt back in by replying START or re-enabling notifications in your account Settings.

9.7 Privacy: Your phone number and SMS opt-in data will not be sold, rented, or shared with third parties or affiliates for marketing or promotional purposes. For full details on how we handle your data, please review our Privacy Policy — SMS and Text Messaging section.

9.8 Supported Carriers: SMS messages are supported on most major U.S. carriers including AT&T, T-Mobile, Verizon, and others. Carriers are not liable for delayed or undelivered messages.

10. Intellectual Property Rights

The Service and its entire contents, features, and functionality are owned by AmpaSports and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMPASPORTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

We are not responsible for:

• The quality, safety, or legality of referee services provided
• Disputes between organizations and referees
• Injuries or damages occurring during games or travel
• Cancellations, no-shows, or schedule conflicts
• Payment disputes between parties
• Accuracy of user-provided information

12. Indemnification

You agree to indemnify, defend, and hold harmless AmpaSports, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease, but provisions that by their nature should survive termination shall remain in effect.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution: If you have a dispute with us, you agree to first contact us and attempt to resolve the dispute informally.

14.2 Binding Arbitration: If we cannot resolve a dispute informally, any dispute will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14.3 Class Action Waiver: You agree that disputes will be resolved on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
